Bookkeeping Bot Terms of Use

These terms govern Bookkeeping Bot, a tool that Penland LLC ("Penland," "we," "us," or "our"), through its Penland Bookkeeping division, connects to a client's Xero organisation to perform bookkeeping. By approving the connection in Xero, the client agrees to these terms. How the tool handles data is described in the Bookkeeping Bot Privacy Policy.

1. The service

Bookkeeping Bot is part of a Penland Bookkeeping bookkeeping engagement. It is not sold or offered separately. Where a signed engagement letter or statement of work conflicts with these terms, the engagement letter controls.

2. Authority to connect

Only a person with authority over the Xero organisation may approve the connection. By approving it, the client confirms that person has that authority.

3. How we use it

We use the tool only on the client's instructions and within the scope of the engagement. We review what the tool produces before relying on it, but the client remains responsible for its books, its tax filings, and its business decisions.

4. No professional advice

Bookkeeping Bot does not provide tax, legal, audit, or investment advice, and nothing it produces is a substitute for that advice.

5. Xero

Xero is a third-party service. The client's use of Xero is governed by Xero's own terms, and we are not responsible for Xero's availability or for changes Xero makes to its platform. Xero is a trademark of Xero Limited. Bookkeeping Bot is not affiliated with, endorsed by, or sponsored by Xero.

6. Disconnecting

Either party may disconnect the tool at any time. Disconnecting ends the tool's access to the organisation's data but does not by itself end the engagement.

7. Disclaimer and limitation of liability

To the maximum extent permitted by law, the tool is provided "as is," and Penland's total liability for any claim relating to it is limited to the fees the client paid Penland Bookkeeping under the engagement in the twelve months before the claim arose. Penland is not liable for indirect, incidental, or consequential damages, or for lost profits or data.

8. Governing law

These terms are governed by the laws of the Commonwealth of Virginia. Any dispute will be brought in the state or federal courts located in Virginia.

9. Changes

If we change these terms, we will update the "Last updated" date above and tell connected clients about material changes before they take effect.
